Terms of business

This page explains where the binding documents are and what they cover. It is an orientation, not the contract.

The binding documents

A contract for Shelltrap is concluded in our shop and client area at shop.shelltrap.com . The documents shown and accepted there during checkout are the binding ones:

  • the general terms and conditions (Allgemeine Geschäftsbedingungen) of Panomity GmbH,
  • the licence terms for the Shelltrap software, of which an extract is published at licence terms ,
  • the product description and price as displayed at the moment of ordering.

If anything on this website contradicts those documents, those documents apply. If you would like to read them before you start an order, ask us and we will send them: hallo@panomity.de .

How the contract comes about

Presenting the product and its price on this website is an invitation to order, not a binding offer. The contract comes into existence when we accept your order — in practice, when the licence is created and the key appears in your client area.

Subscription, invoicing and cancellation

Shelltrap is sold as a subscription per server, billed monthly or annually in advance. Prices shown on this site include German VAT at 19 %; business customers elsewhere in the EU with a valid VAT identification number are invoiced net under the reverse-charge procedure.

Subscriptions renew for the period you chose until they are cancelled. Cancellation is done in the client area, and the exact notice period is stated in the terms and conditions and on your invoice.

What a licence covers

One licence covers one server, identified by a fingerprint derived from /etc/machine-id, including every domain and account on that machine. Moving a licence to another server is supported: shelltrap license deactivate releases the activation slot and shelltrap license activate claims it on the new host.

Without an active licence, the software does not receive signature updates and does not scan. The precise behaviour is documented under licensing .

Consumers

Shelltrap is aimed at operators of hosting servers and is therefore a business product. If you nevertheless order as a consumer, your statutory rights — including the statutory right of withdrawal for distance contracts and statutory warranty rights — apply in full and are not restricted by anything on this page. The withdrawal instructions are supplied with the order documents.

Dispute resolution

The European Commission provides a platform for online dispute resolution at https://ec.europa.eu/consumers/odr . We are not willing or obliged to participate in dispute resolution proceedings before a consumer arbitration board.

Governing law and place of jurisdiction

German law applies. Where the law permits an agreement on jurisdiction — that is, in dealings with merchants, legal entities under public law and special funds under public law — the place of jurisdiction is Munich. Mandatory consumer protection provisions are unaffected.
